TOP was engaged by an early-stage, multinational used car resale company to prepare a purchase price allocation in relation to its merger with a transportation logistics and fleet management technology company. The services were provided to assist our client with its financial reporting obligations in accordance with International Financial Reporting Standards (IFRS).
The intangible assets valued as part of the services included developed technology, customer relationships, and certain trade names. The developed technology was deemed to be the acquired (for accounting purposes) company's primary asset and valued using the multi-period excess earnings method (MPEEM) under the income approach. The customer relationships were valued using the distributor method of the MPEEM under the income approach and the trade names were valued using the relief from royalty method under the income approach.
