TOP was engaged by a Permian-based non-operated oil and gas acquisition and management company to assist with the independent review of certain investment fund distribution waterfall mechanics and related calculations provided by client management. The services consisted of assessing the application and interpretation of the distribution waterfall provisions set forth in the corresponding partnership agreement and, using information provided by management, recalculating certain pre- and post-long-term incentive plan distributions and corresponding net cash-flows for fund investors. The services were provided in relation to client's financial reporting and tax planning activities.
